Terms and conditions of MB vmarine
EU/USA export regulations apply
1. General provisions
1.1. The Purchase and Sale Agreement (hereinafter – the Rules) is a legally binding document in English language,that sets the Customer (hereinafter – the Buyer) and JSC “VMARINE” (hereinafter – the Seller) mutual rights, obligations and responsibilities of the buyer purchase goods online shop www.vmarine.lt
1.2. Buyer and Seller contracts awarded on 2001, 17 August on the basis of the Republic of Lithuania Minister of Economy No. 258 “Items for sale and provision of services when contracts are awarded by means of communication, the rules of approval”.
1.3. Buy our online shop have the right:
1.3.1. legal capacity private persons, i.e. persons who have reached the age of majority, which is not limited to insanity in court;
1.3.2. minors from fourteen to eighteen years of age, only with the parents or guardians consent, except when they dispose of their own income;
1.3.3. juridical persons;
1.3.4. all of the above mentioned persons authorized representatives.
1.4. The Buyer, in agreeing the Rules confirms that, in accordance with Rules 1.3. point shall be entitled to purchase goods in online shop www.vmarine.lt.
2. Purchase and Sale Agreement
2.1. The contract between the Buyer and the Seller may be concluded from the moment when the Buyer clicks the “Buy” button, confirming shopping cart of goods in order. Immediately after the order is sent Buyer receives from Seller confirmation that order has been received and accepted. The purchase contract takes effect when the Buyer receives confirmation of dispatch or receives goods.
2.2. Any contract concluded between the Seller and the Buyer is protected in online shop database www.vmarine.lt.
3. Buyer rights
3.1. The Buyer has the right to buy goods in online shop www.vmarine.lt according these Rules and online shop procedures.
3.2. The Buyer has the right to refuse the sale – purchase agreement entered into www.vmarine.lt online shop, notice to the Seller in writing (by e-mail, indicating the returning product and the order number) no later than 14 (fourteen) working days from the date of delivery, excluding the marine industry / sports professionals or other business owners in Lithuania or worldwide, further in text Professionals.
3.3. Civil Buyer can use the law of this Rules 3.2. point only if the product & orginal packing was not damaged or change its appearance, product was not used and did not suffer any marketing and representable view.
3.4. If the Buyer does not inform the Seller of the refusal of order as indicated in 3.2. point, the Seller has the right to cancel an order without prior notification to the Buyer.
4. Buyer commitments
4.1. The Buyer must pay for the goods and accept it according to these rules.
4.2. The Buyer must cover all the costs associated with the transportation of goods which are returned, including delivery from/to Yanmar warehouse NL, if the product is returned for no fault of the Seller: undamaged goods packaging, characteristic of the product corresponds to the www.vmarine.lt online shop.
4.3. Buyer undertakes not to transfer to third parties your login information. If the buyer loses the data connection, it must immediately inform the seller in the “Contact Us” indicated means of communication.
4.4. In case of changes in customer details submitted on the registration form, it must be immediately updated.
4.5. Buyer using www.vmarine.lt online shop, undertakes to comply with these Rules, other conditions clearly set out in the online shop and not violate the legislation of the Republic of Lithuania.
5. Seller rights
5.1. If a Buyer is trying to undermine the work of online shops stability and security or in breach of its obligations, the Seller has the right to immediately and without notice to suspend or restrict access to the online shop or, in exceptional cases, eliminate the registration of the Buyer.
5.2. Seller may suspend or terminate the online shops activity, without notice to the Buyer in advance when there are important circumstances.
5.3. Seller has the right without prior notice to Buyer to cancel the order if the Buyer does not pay for the goods within 3 (three) working days. 5.4. Seller has the right without prior notice to change the rules of web shop.
5.5. Seller has right to request deposit on orders with lead time (LT). Engine orders has deposit value at not less than 20% from order. Engine order cancelation polity described section “Warranty and returns”.
5.6. Any shipping i.e. Suez canal passage limitations or detour, involve possible back order goods delay, including but not limited to marine engines, where goods delivery is carrier out via Yanmar Marine International BV (Netherlands). Such delay is not treated as sales agreement violation by MB Vmarine and is out of control of MB Vmarine.
6. Seller commitments
6.1. Seller agrees possibility to access to online shop www.vmarine.lt services to the Buyer in accordance with these Rules and conditions laid down in the online shop.
6.2. The Seller undertakes to respect the privacy of the Buyer, which is indicated on the online shop registration form, except for laws of the Republic of Lithuania and Data protection rules.
6.3. Payment for the ordered goods deliver by the buyer, at the indicated address in Lithuania. Delivery time indicated in www.vmarine.lt.
6.4. If the Seller cannot deliver the ordered goods in the event of serious circumstances, he undertakes to offer a similar product. If the Buyer refuses to accept a similar product, the Seller agrees to refund the Buyers money within 7 (seven) working days.
6.5. The delivered goods on credit terms has payment term of 14 days. The exceeded terms are subject of 13% interest rate per Annum, any other sales can be done on COD basis.
7. Prices of goods, payment procedures and terms.
7.1. Prices of goods in online shop are indicated in Euro less VAT.
7.2. The price does not include the delivery charge.
7.3. Payment for the goods is carried out by „Paysera“, direct bank transfer to the seller’s account or in exceptional cases, in trade points of Seller.
8. Buyers can choose the delivery method, i.e. use the Seller provided of goods delivery service or collect the goods in trade points of Seller.
8.2. The goods are delivered to the address indicated in the data reservation. Seller or Seller authorized representative is not responsible and does not check does the goods withdrawn person who made the booking. It’s the buyer’s responsibility.
8.3. Buyer shall, together with the seller or seller authorized representative to check shape of a package at the time of delivery.
8.4. If the buyer sees violation of the consignment must be noted on the invoice and make out a free act of infringement. The buyer signing the invoice without notes, it is considered that the consignment is transferred tidy.
8.5. Orders with a value of up to 150 Eur delivery costs 9,99 Eur throughout LITHUANIA, excluding Neringa city. Urgent delivery to Kušių Nerija is always an additional charge of 50,00 Eur. Delivery of goods is free if the Buyer takes goods in Seller trade Moletu road 47F VILNIUS;
8.6. Ordered goods from sales points need to pick up no later than 3 (three) working days. This period starts after the confirmation that order is ready.
9. Returns and exchanges
9.1. Return of goods takes place in accordance with the order No. 217 (“Return and exchange rules”) of 2001, June 29, Minister of Economy of the Republic of Lithuania. Rules are different for civil buyers and professionals.
9.2. Returning the goods, it is necessary:
9.2.1. returned goods must be in original packaging and tidy;
9.2.2. goods must be undamaged;
9.2.3. goods must not be lost merchantable (not damaged labels, not been removed protective film ant etc.) (This paragraph shall not apply in the case of a defective product returned. In this case the goods apply to the guarantee rules);
9.2.4. the returned goods must be of the same completion and packing as it was received by the Buyer;
9.2.5. it is necessary to provide proof of purchase by returning the goods, warranty card (if it was issued);
9.3. Goods can be returned to our office Moletu road 47F VILNIUS, not later than 14 (fourteen ) days from receipt of the goods, if confirmed by Seller.
9.4. We can take the returned goods from the specified location. In this case, the Buyer has to ensure the return of the goods agreed with the courier in time. The Buyer has the direct cost of returning the goods.
9.5. Money refunded for the quality of the goods is returned within 14 (fourteen) days of the submission of a written request to return to the condition that the product returned to the Seller, if not in conflict with clause 3.2, 3.3, 9.1.
9.6 Goods, that were ordered by the individual request of Buyer, based on proforma basis, are not subject for the return. Such individual items are delivered to the Buyer in original OEM packing and with original OEM instruction language. Buyer and Seller are in agreement, the original instruction language is valid and acceptable, the Seller is passing warranty responsibility onto Buyer at a moment of SALE and goods delivery. If the return is granted on a “good will basis” (not the case of warranty), the re-stocking fee of minimum 50 euro will be charged as undisputed sellers exposure.
10. Responsibility
10.1. The Buyer is fully responsible for the correctness of the data provided on the registration form, or email correspondence. If Buyers do not provide accurate data on the registration form, Seller is not responsible for the ensuing consequences.
10.2. Buyer is responsible for all acts performed by using this online shop.
10.3. Buyer is responsible for their login information transfer to the third parties. If the online shop www.vmarine.lt using the services provided by a third party using the login of Buyer, Seller call this person as Buyer.
10.4. In case of damage, the guilty party shall reward the other party resulting losses.
11. Exchange of information
11.1. The Seller sends all the messages by e-mail in registration form on the Buyer.
11.2. The Buyer shall provide all reports and questions to the Seller by means of communication specified in the online shop “Contact Us”.
12. Warranty
12.1. All products sold through online shop www.vmarine.lt are given the same warranty as in the usual shops, and does not exceed manufacturers warranty in scope or calendar.
12.2. Warranty of items, other than Yanmar products, purchased on Proforma basis and delivered by individual Buyer request, is handled by Buyer, directly with OEM, based on conditions, indicated as per instruction manual of purchased product.
13. Final Provisions
13.1. These Rules are created in accordance with the legislation of the Republic of Lithuania.
13.2. All disputes arising from the enforcement of these Rules shall be resolved by negotiation. Not reached an agreement, disputes shall be settled in according to the law of the Republic of Lithuania.
